    • "Website" refers to the Company's website, including dubmate.com and any future sub-product websites, related domains, and subdomains. This encompasses all content, services, and functionalities available on or through these websites.
    • "User" refers to any person who accesses or uses the Website or Services, including Users, their employees, representatives, and any other individual accessing the Website or Services on behalf of the Users.
  • Services
    • Scope of Services
      • The Company provides software development and IT services, including but not limited to, web development, mobile application development, and custom software solutions.
    • Engagement
      • Users may engage the Company for specific projects by entering into a separate agreement outlining the scope, deliverables, timelines, and payment terms.
  • Payment Terms
    • Fees
      • The fees for services will be specifically detailed in the individual project agreements between the Company and the Users.
      • These fees may be based on various factors, including but not limited to the scope of work, complexity, timelines, and any additional services requested by the Users.
      • Any other changes to the project's scope that affect the fees will be documented and agreed upon in writing by both parties.
    • Invoicing and Payment
      • Invoices will be issued according to the milestones, schedules, or deliverables as outlined in the project agreement.
      • Payment is due upon receipt of the invoice unless otherwise specified in the project agreement.
      • The project agreement will specify accepted payment methods, which may include bank transfers, credit card payments, or other agreed-upon methods.
      • If payment is not received by the due date, the Company reserves the right to:
        • Suspend the provision of services until full payment is received.
        • Seek legal remedies to recover the unpaid amount, including but not limited to engaging a collections agency or pursuing legal action. The Users will be responsible for any additional costs incurred by the Company in recovering the overdue payment.
    • Users are encouraged to review invoices upon receipt and promptly notify the Company of any discrepancies or disputes. Any disputed amounts will be investigated, and both parties will work in good faith to resolve the issue promptly.
  • Users Responsibilities
    • Information and Access
      • Users are responsible for providing all necessary information, documentation, and access to resources required for the Company to perform the services effectively.
      • This includes, but is not limited to:
        • Technical specifications, project requirements, and other relevant details.
        • Access to systems, databases, or third-party services necessary for the project.
        • Design assets, content, and other materials needed for development or implementation.
      • Failure to provide necessary information or access in a timely manner may result in project delays, and the Company shall not be held liable for such delays.
  • Intellectual Property
    • Ownership
    • All intellectual property rights in the deliverables, including but not limited to software code, designs, documents, and any other materials produced by the Company during the course of the project, shall remain the exclusive property of the Company until full payment is received from the Users.
    • Upon receipt of full payment, the ownership of the deliverables will transfer to the Users as per the terms agreed upon in the project agreement. This includes:
    • Source code and executables.
    • Design files, wireframes, and mockups.
    • Documentation and user manuals.
    • Any other project-specific deliverables.
    • Until full payment is made, the User is granted a limited, non-exclusive, non-transferable license to use the deliverables for evaluation and feedback only.
    • The Company reserves the right to reuse and incorporate any preexisting code, components, tools, and methodologies into the deliverables, provided that the Company holds the necessary rights to such materials and their use does not infringe on the Users' rights to the deliverables.
  • Trademarks
    • The Company retains all rights to its trademarks, including but not limited to "Only4Values Enterprise," "dubmate.com," and any sub-products or associated logos and branding materials.
    • Unauthorized use of these trademarks is strictly prohibited. This includes but is not limited to:
    • Use in advertising or marketing materials.
    • Inclusion in any product or service not provided by the Company.
    • Any use that may cause confusion or imply endorsement by the Company without prior written consent.
    • The Users may not alter, modify, or create derivative works based on the Company's trademarks.
  • Confidentiality
    • Both parties agree to maintain the confidentiality of all proprietary and confidential information received from the other party. Confidential information includes, but is not limited to:
    • Business strategies, plans, and financial information.
    • Technical specifications, software code, and development methodologies.
    • Users and customer data, including personal information.
    • Any other information designated as confidential by the disclosing party.
    • Confidential information does not include information that:
    • Is or becomes publicly available through no fault of the receiving party.
    • Is independently developed by the receiving party without the use of or reference to the disclosing party's confidential information.
    • Is disclosed to the receiving party by a third party who has the right to make such a disclosure.
    • The receiving party agrees to:
    • Use confidential information only for the purpose of performing obligations under the project agreement.
    • Take all reasonable measures to protect the confidentiality of the information, including restricting access to employees and contractors on a need-to-know basis.
    • Not disclose the confidential information to any third party without the prior written consent of the disclosing party.
  • Limitation of Liability
    • The Company provides its services, deliverables, and any related materials on an "as is" and "as available" basis without any warranties or representations of any kind, whether express, implied, statutory, or otherwise.
    • To the fullest extent permitted by applicable law, the Company shall not be liable to the Users or any third party for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the services or deliverables, even if the Company has been advised of the possibility of such damages.
  • Indemnification
    • The Users agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees and costs) arising out of or in connection with:
    • The Users' use of the services or deliverables.
    • Any breach by the Users of these Terms or any applicable project agreement.
    • Any infringement or alleged infringement of any intellectual property rights or other rights of a third party resulting from the Users’s actions.
    • Any violation of law or regulation by the Users.
  • User Rights
